In an interview for The New York Times, Mr. Arnold said, “that his company had benefited not only banks, but also millions of borrowers who could not have obtained loans without the money-saving efficiencies MERS brought to the mortgage trade.”


Mr. Arnold went on to say that, ” far from posing a hurdle for homeowners, MERS had helped reduce mortgage fraud and imposed order on a sprawling industry where, in the past, lenders might have gone out of business and left no contact information for borrowers seeking assistance.”

Simultaneously, MERS acts as the “mortgagee” of record in a “nominee” capacity (a form of agency) for the beneficial owners of these loans.


To ensure widespread acceptance within the industry, MERS sought to have security instruments modified to contain MERS as the original mortgagee (MOM) language. MERS began to change decades of business practices after the two biggest mortgage funders in the U.S. the Federal Home Loan Mortgage Corporation (Freddie Mac) and the Ferderal National Mortgage Association (Fannie Mae) modified their Uniform Security Instruments to include MOM language. Their approval opened the doors to incorporate MERS into loans at origination.


Soon after, U.S. government agencies like the Veterans Administration, Federal Housing administration and Government National Mortgage Association (Ginne Mae), and several state housing agencies followed both Fannie/Freddie to approve MERS.


More than 60 percent of all newly-originated mortgages are registered in MERS. Its mission is to register every mortgage loan in the United States on the MERS System. Since 1997, more than 65 million home mortgages have been assigned a Mortgage Identification Number (MIN) and have been registered on the MERS System.


The mortgage-backed security (MBS) sector tested the viability of MERS because a substantial number of mortgages are securitized in the secondary market. In February 1999, Lehman Brothers was the first company to include MERS registered loans in a MBS.


Moody’s Investor Service issued an independent Structured Finance special report  on MERS and it’s impact of MBS transactions and found that where the securitzer used MERS, new assignments of mortgages to the trustee of MBS transactions were not necessary.


Since MERS is a privately owned data system and not public, all mortgages and assignments must be recorded in order to perfect a lien. Since they failed to record assignments when these loans often traded ownership several times before any assignment was created, the legal issue is apparent. MERS may have destroyed the public land records by breaking the chain of title to millions of homes.


IN MERS CEO’S OWN WORDS

In or around the summer of 1997, MERSCORP President and CEO R.K. Arnold wrote, “Yes, There is life on MERS” Mr. Arnold stated, “Some county recorders have expressed concerns that MERS will eliminate their offices nationwide or destroy the public land records by breaking the chain of title. As implemented, MERS will not create a break in the chain of title, and, because MERS is premised on an assignment recorded in the public land records, MERS cannot work without county recorders.”


In this same article Mr. Arnold also states “The sheer volume of transfers between servicing companies and the resulting need to record assignments caused a heavy drag on the secondary market. Loan servicing can trade several times before even the first assignment in a chain is recorded, leaving the public land records clogged with unnecessary assignments. Sometimes these assignments are recorded in the wrong sequence, clouding title to the property”. Mr. Arnold never mentions the fact that the mortgage notes have been securitized, thereby becoming “negotiable securities” under the Uniform Commercial Code.


In an interview for The New York Times, Mr. Arnold said, “that his company had benefited not only banks, but also millions of borrowers who could not have obtained loans without the money-saving efficiencies MERS brought to the mortgage trade.”


Mr. Arnold went on to say that, ” far from posing a hurdle for homeowners, MERS had helped reduce mortgage fraud and imposed order on a sprawling industry where, in the past, lenders might have gone out of business and left no contact information for borrowers seeking assistance.”


“We’re not this big bad animal,” Mr. Arnold said. “This crisis that we’ve had in the mortgage business would have been a lot worse without MERS.”


Unfortunately, even a simple search in the Florida Land Records proves the opposite to be the case. Researchers have  easily found affidavits of lost assignments actually stating, “the said mortgage was assigned to Mortgage Electronic Registration Systems, Inc., from “XXXXXXX”, the original of the said assignment to Mortgage Electronic Registration Systems, Inc., was lost, misplaced or destroyed before same could be placed of record with the Florida Land Records County Clerk’s office; That, “XXXXXXX”, it’s successors and/or assignee is no longer in business/or do not respond to our request for a duplicate assignment, and therefore, a duplicate original of said assignment cannot be obtained.”


According to affidavits such as these, not only have the borrowers lost contact with the lenders, but the same is true that MERS did as well.


On September 25, 2009, Mr. R.K. Arnold was deposed in Alabama. Mr. Arnold admitted MERS does not have a beneficial interest in any loan, does not loan money and does not suffer a default if monies are not paid. On November 11, 2009, William C. Hultman was deposed in Alabama and made the same admissions.


Yet again, researchers have easily located affidavits recorded in the Florida Land Records stating “That said Deed of Trust has not been assigned to any other party and that MORTGAGE ELECTRONIC REGISTRATION SYSTEMS, Inc. is the current holder and owner of the Note and Deed of Trust in question.”


NO. THERE’S NO LIFE AT MERS

Aside from not recording assignments, Mr. Arnold failed to mention that the certifying officers given authority to execute sensitive loan documents would not be paid employees of MERS. This raises the critical legal question as to how one can act as a certified officer and execute any equitable interest on behalf of any security instruments without being an employee of MERS.


On April 7, 2010, in the Superior Court of New Jersey, MERS Treasurer and Secretary William C. Hultman gave an oral sworn video/telephone deposition in the case of Bank Of New York v. Ukpe.:

A I don’t understand your question.

formed January 1, 1999, Mortgage Electronic Registration
Systems, Inc. Does it have paid employees?
A No, it does not.


Q Does it have employees?
A No.


Q Does MERS have any employees?
A Did they ever have any? I couldn’t hear you.


Q Does MERS have any employees currently?
A No.


Q In the last five years has MERS had any
employees?
A No.

If so, how does anyone have any authority to sign security instruments encumbered by any loan documents, if these certifying officers are not paid employees and never attend corporate meetings in the capacity as Vice President, Assistant Secretary, etc. with Mortgage Electronic Registration System, Inc.?

Making Free Money Online


Web performance and security startup CloudFlare announced today it has raised $20 million in new funding led by New Enterprise Associates. The company intends to use the money to hire more employees and tackle new infrastructure projects.


“Every day thousands of websites sign up for CloudFlare and we’ve done a lot on modest resources,” CloudFlare CEO and co-founder Matthew Prince told VentureBeat. “We’ve now built a foundation that’s helping us scale up and look forward to helping even bigger clients.”


CloudFlare’s purpose is to help speed up and protect websites, a universal need for all kinds of businesses. That universal need and the fact that CloudFlare gives away some of its services for free have helped the company grow immensely since its launch in September 2010.


“Users love this service,” Prince said. “We’re really focused on delivering a product anyone can use and just making the Internet work better.”


We reported in June that CloudFlare added seven new data centers to make up a total of 12 data centers around the world. The company needs this kind of capacity because the sites it protects reach more than 7 billion page views a month. To put it in more simple terms, more than 10 percent of Internet users around the world visited sites supported by CloudFlare in the last month.


CloudFlare’s service is available for free with basic features or $20 per month with advanced features and controls. Prince said the company intends to launch a plan targeting mid-sized business in the third quarter, and even larger enterprises will see custom plans offered in late 2011.


San Francisco-based CloudFlare previously raised $2.05 million in funding, so the $20 million jump is a big move that suggests a hot future for the company.

iSwifter, the company that can stream Flash-based Facebook games so they can be played on the iPad, said that users have downloaded the iSwifter app more than half a million times since the launch of version 3.0 in June and (updated) version 4.0 more recently.


That’s a strong start for a technology that circumvents Apple’s walled garden on the iPad, allowing Facebook and other Flash content to run properly on the tablet. Normally, Adobe Flash games (which are ubiquitous on the web) don’t run on Apple’s iPad, thanks to a technical dispute between the companies. But after a period of negotiation with Apple, iSwifter made it impossible possible with the launch of version 3.0 of its app, which comes with a subscription-based game browser.


iSwifter executes games on its own servers and then streams images to a user’s iPad in the form of a video. The execution is so quick, the user never knows the game is running in a server, not on the iPad itself.


Peter Relan, chairman of Youweb — the incubator that owns iSwifter — is making the announcement today at the GamesBeat 2011 conference in San Francisco. 500,000 people are playing nearly 2,000 Facebook games available on the iSwifter game browser. About 40 percent of all gaming time on iSwifter is spent on Zynga games. This shows that users are not waiting for Zynga and other Facebook game makers to adapt their games to run on the iPad.


That’s an interesting notion, Relan says, because the company charges a subscription fee for iSwifter. Zynga games, meanwhile, are free-to-play. That is, users play them for free and pay real money for virtual goods. But with iSwifter, Zynga players are actually willing to pay money so they can play Zynga games on the go on an iPad. About 20 percent of iSwifter users are willing to pay using in-app purchases to get access to a Facebook game on the iPad. And iSwifter users spent nearly 2 million minutes on Facebook games in the past few months (using earlier versions of iSwifter).


The most popular Facebook games on iSwifter are Zynga’s CityVille and Empires & Allies. Other top 10 games include FrontierVille, Dragons of Atlantis, Gardens of Tim, Backyard Monsters and SlotoMania.


iSwifter CEO Rajat Gupta said the company’s success shows that disruption is occurring in mobile games, where portals such as iSwifter, making it harder for social game publishers to lock their customers on certain platforms.


“While we hear the Facebook app for the iPad is coming soon, we know it won’t include the ability to play games,” said Gupta. “Almost all the big games on Facebook are built in Flash, which doesn’t run on iOS. But iSwifter has created a large following of paying users who love playing Facebook games on their iPads.”


With iSwifter’s game-browser app, iPad users can log into online games like World of Warcraft or play social games such as CityVille on their iPads, even though those games aren’t playable on Apple’s device in any other way.


Users can get the iSwifter app with a regular web browser that can play Flash videos and other web content on an iPad for a subscription of $4.99 a month a flat fee of $4.99 Both deliver Flash and game content — including any social games or massively multiplayer online games.


The first couple of versions of iSwifter let users to watch videos and play a limited number of Flash games on an iPad. But version 3.0 allows you to log into Facebook and play a variety of Flash-based games such as FarmVille, Gupta said in an interview.


Apple approved the previous versions of iSwifter without much interchange. But the 3.0 approval process was lengthier and tougher because iSwifter introduced a new monetization feature. Gupta said he wanted to launch a subscription service where a user would sign up once for iSwifter and the subscription would automatically renew at the end of each month. But Apple balked and required that iSwifter’s users approve the subscription at the end of every month. That way, users won’t get surprised by monthly bills. It isn’t exactly clear why Apple required this restriction for iSwifter, but Gupta said he had to go along. Now, to reduce confusion, iSwifter has eliminated the subscriptions in favor of a single download fee. With version 4.0, users can download it for free and play it for a half hour. If they like it, they can pay the flat fee.


When you load the app, you have two options. You can browse web sites or play games. With the web sites, you can choose from one of the featured links or just type in the web address to go to any web site. For games, there is one game that is available for free each week. The others are available as free-to-play games. After a couple of minutes of playing, the user is prompted to make an in-app purchase to continue playing. If there is a drawback to iSwifter, it is that it needs a constant Wi-Fi connection in order to run, as the video has to be streamed in near real-time to create a continuous and good experience for the user. Gupta says that the amount of bandwidth required to support the app isn’t huge.


Gupta says that iSwifter would be useful on Android systems as well, even though Flash is going to be available on those devices. That’s because all of the capabilities of Flash aren’t available on those devices. Right now, iSwifter runs on just the iPad.


It’s worth noting that many Flash web sites are written for PCs and need a mouse and keyboard. That means they won’t work well on a mobile device unless they are redone in a touchscreen-friendly way. But iSwifter has built software — an abstraction layer built into the cloud platform — that captures a user’s touch-based gestures and converts them into mouse and keyboard-style inputs that Flash games can understand. That conversion is done in real-time.


Developers who have free-to-play games may be particularly interested in making their games accessible via iSwifter 4.0. That’s because iSwifter can extend distribution for the web-based games to the Apple platform. If users buy virtual goods in those games, the developers can make money from the purchases. Apple still gets paid, meanwhile, because it gets 30 percent of the revenue from subscription fees generated by iSwifter, per Apple’s business rules.


The iSwifter browser competes with the Skyfire browser, which costs $4.99 on the iPad. But the Skyfire browser isn’t really built to handle games or Flash animations, particularly since it can’t convert finger touches into mouse clicks.
